MEMORANDUM OF UNDERSTANDING (MOU)

This Memorandum of Understanding (“MOU”) is made on 31-01-2026 between:

XXL Studioworks Private Limited, having its registered office at 138/7, USHA VILLA, GARODIA NAGAR, GHATKOPAR (EAST), MUMBAI 400077 (hereinafter referred to as the “Company”),

and , residing at , India (hereinafter referred to as the “Artist/Influencer”).

The Company and the Artist are collectively referred to as the “Parties”.

1. Purpose

The purpose of this MOU is to outline the terms under which the Artist will create and share promotional content for the Company and/or its clients across digital and social media platforms.

This MOU shall remain in full force and effect for a term of 12 months commencing from the date of signing.

2. Scope of Work

The Artist agrees to deliver content as mutually discussed and approved via email/WhatsApp, which may include:

Instagram posts/reels/stories, YouTube videos, or other digital content.
Promotional appearances or mentions mutually approved.
The Influencer agrees to mention XXL Studioworks official handles – @xxltalent and contact number in their bio/description during the MOU period.
All brand partnerships and campaigns will be routed through the Company.

Deliverables, timelines, and posting schedules will be finalized in writing before each project.

3. Payment & Invoicing

The Artist shall raise an invoice upon completion of deliverables.
Payment will be made within 30 days of receiving the invoice.
The Artist is responsible for their taxes, GST registration, and compliance.

4. Confidentiality

The Artist agrees to maintain confidentiality regarding any proprietary information or campaign details shared by the Company. This clause survives termination of the MOU.

5. Usage Rights

The Company has full rights to use the content created under this MOU across digital and offline platforms for marketing and promotional purposes.

6. Commission Structure

The Company follows an 80:20 model:

20% commission retained by the Company.
80% paid to the Artist after invoice and TDS deductions.
Commission applies to every project routed through the Company.

7. Content Visibility Clause

The Artist agrees to keep posts, stories or videos live for at least 6 months unless otherwise agreed.

8. Term & Termination

This MOU remains valid from the signing date till completion of deliverables.
Either party may terminate with 1 month written notice in case of breach.
Artist will be paid for accepted deliverables up to termination date.

8A. Penalty Clause

Failure to comply with terms may result in a penalty of 200% of the billing amount.

9. Indemnity Clause

The Influencer agrees to indemnify XXL Studioworks from any claims or damages arising from misuse, breach, or non-compliance.

10. Independent Contractor Relationship

The Artist is an independent contractor; no employer-employee relationship is created.

11. Governing Law

This MOU is governed by the laws of India. Courts in Mumbai shall have exclusive jurisdiction.

12. Acceptance

By signing below, both Parties agree to the terms of the MOU.
